What we do

Three services, one transaction

A business sale often includes a building to buy or a lease to assign, and a buyer who needs a loan. Keeping all three with one team keeps the deal moving.

Selling a business

How a confidential sale works

Every sale follows the same six stages. You'll know what's happening at each one and what we need from you.

  1. 1

    Valuation

We review three years of financials, recast them to show true owner earnings, and set a price range the market will support.

    Tax returns · P&Ls · add-backs
  2. 2

    Confidential profile

We write the offering memorandum and a blind teaser that describes the business without naming it.

    Teaser · offering memorandum
  3. 3

    Marketing and screening

The teaser goes to buyer networks and listing platforms. Buyers sign an NDA and show proof of funds before seeing details.

NDA · buyer profile · proof of funds
  4. 4

    Offers and LOI

We compare offers on price, terms, financing and transition, then sign a letter of intent with the strongest buyer.

    Letter of intent
  5. 5

    Due diligence and financing

The buyer verifies the books, lease and operations while their lender underwrites the loan.

  6. 6

    Closing

Purchase agreement, lease assignment, and escrow. Funds are released and ownership transfers.

Loan programs we arrange

The right structure depends on what you're buying and how much you're putting down. We start with a short pre-qualification conversation.

Four people reviewing papers at a table
SBA 7(a)
Buying a business, partner buyouts, working capital, equipmentGood fit when the purchase is mostly goodwill and cash flow, not hard assets
SBA 504
Owner-occupied buildings, major equipmentGood fit when your business will occupy most of the property
Conventional
Investment property and owner-user purchasesGood fit with strong property income or borrower financials
Bridge
Short-term financing before a refinance or saleGood fit when you need to close fast or reposition a property
Construction
Ground-up builds and major renovationsGood fit when plans, budget and permits are in place

Loans are arranged through BRG Realty and made by third-party lenders. Rates, terms and approval are set by the lender and depend on the borrower and property. Nothing on this page is a commitment to lend.

For business brokers

Join the BRG business brokerage team

BRG is building a team of business brokers across the country, backed by a California brokerage, a loan desk and a marketing team that treats every listing like a launch.

A licensed California brokerage behind youWhen a deal includes California real property, the license and broker supervision are already in place through BRG Realty.
Financing in-houseBuyer pre-qualification and SBA packaging help your listings close instead of stalling at the lender.
Marketing done for youTeasers, offering memorandums, listing copy and buyer outreach built by an agency-level marketing team.
Deal support and a team to split work withHelp with valuations, LOIs and diligence checklists, plus co-brokering across the team.

Is this a fit?

  • You broker business sales, or want to start
  • You work in a state that doesn't require a real estate license for business-only sales
  • You want marketing, financing and supervision without building them yourself

Licensing rules differ by state, and a sale that includes real property usually requires a license where the property sits. We'll review your state's rules on our first call. Commission split and team terms are discussed one-on-one.
